Auditing Requirements for Businesses in the UAE

UAE audit requirements depend on the company’s legal structure, regulatory obligations and applicable tax rules. Under Article 27 of Federal Decree-Law No. 32 of 2021 on Commercial Companies, every joint-stock company and limited liability company must have one or more auditors to carry out an annual audit of its accounts. Other company forms may appoint an auditor in accordance with the applicable provisions of the law.

Corporate Tax requirements are a separate consideration. Certain taxable persons are required to prepare and maintain audited financial statements under the applicable Corporate Tax rules. Businesses should therefore assess both their company-law obligations and their Corporate Tax position when determining their audit requirements.
